REPURCHASE OF SHARES


The Board of Baronsmead VCT 2 plc announces that on 16 December 2002 the Company
purchased for cancellation 10,000 ordinary shares of 10p at a price of 84.0p.

Following this purchase there are now 40,941,575 ordinary shares of 10p in
issue.
