                   GOLD OIL PLC ('Gold Oil' or the 'Company')
                                 Shareholdings


The Company were informed on 17 August 2005 that at the close of business on 16
August 2005, Man Financial Limited were the beneficial owners of 11,600,000
ordinary shares of 0.025p each, representing a total holding of 3.56% of the
Company's issued share capital.

In addition, the Company were informed on 18 August 2005 that on 15 August 2005
Cantor Fitzgerald Europe has an interest in and is the registered holder of
20,321,666 ordinary shares of 0.025p each, representing a total holding of 6.23%
of the Company's issued share capital.

The Company was also informed on 18 August 2005 that at the close of business on
17 August 2005, Mr. Billy Underwood Jr. had reduced his holding by 1,000,000
Ordinary Shares of 0.025p each ('Ordinary Shares'). Mr Underwood now has a total
holding of 22.0% of the Company's issued share capital.
