         Notification of directors' interests: Companies Act 1985 s.329

On 12 March 2001, the Company granted options under the Barclays PLC Incentive
Share Option Plan (ISOP) over Barclays PLC ordinary shares at an exercise
price of £21.36 per share to directors of Barclays PLC as follows:

No consideration was paid on the grant of the options.  The number of shares
over which these options will become exercisable is dependent upon the meeting
of stringent performance targets.  Options will not normally vest until three
years after grant.
