Barclays PLC 1 November 2000 Barclays PLC Announcement re Sir Brian Jenkins, John Stewart and Stephen Russell John Stewart's appointment as a Director of Barclays PLC became effective on 25 October 2000 following the completion of the acquisition of Woolwich plc by Barclays PLC (the 'Acquisition'). Mr Stewart has the following interests in Barclays PLC ordinary shares: (a) He has a beneficial interest in 270 Barclays PLC ordinary shares of £1 each. (b) He has options over 617,144 Woolwich shares under the terms of the Woolwich plc 1998 Executive Share Option Plan and options over 6,436 Woolwich shares under the terms of the Woolwich Sharesave Schemes. In line with other participants in these schemes, following the Acquisition, Mr Stewart will receive proposals to either roll-over his options into Barclays options, realise any gain by means of a cash arrangement or exercise these options. (c) As a participant in the Woolwich Sharesave Schemes he has, following the Acquisition, an interest as a potential discretionary beneficiary in 474,306 Barclays PLC ordinary shares held by the trustee of the Woolwich Qualifying Employee Share Ownership Trust. Mr Stewart together with other Directors and senior executives of Barclays PLC and Barclays Bank PLC, has an interest as a potential beneficiary in 7,882,756 Barclays PLC ordinary shares held by the independent trustee of the Barclays Group employees' benefit trusts. These are discretionary trusts established for the benefit of Barclays Group employees and former employees (and in each case their families) all of whom are potential beneficiaries. Sir Brian Jenkins' and Stephen Russell's appointments as Directors of Barclays PLC became effective on 25 October 2000 following the Acquisition.
