Barclays PLC 30 December 1999 NOTIFICATION OF INTEREST: COMPANIES ACT 1985 s.329 The independent trustee of the Barclays Group (ESAS) Employees' Benefit Trust (the 'Trust') notified the Company on 30 December 1999 that, on 29 December 1999, it released 116,484 Barclays PLC ordinary shares to participants in the Group's Executive Share Award Scheme, of which 50,447 ordinary shares were sold on 29 December 1999 by the trustees on behalf of participants. None of the shares were released to a director of Barclays PLC. Under the rules of the Scheme there is no consideration paid on any such release. The Trust is a discretionary trust for the benefit of employees and former employees (and, in each case, their families) of Barclays Bank PLC and its subsidiaries. Following this transaction, the trustees of all the Barclays Group employees' benefit trusts hold a total of 9,055,824 shares in Barclays PLC in which the following directors of Barclays PLC have an interest as potential beneficiaries: Mr D P Allvey, Mr M W Barrett, Sir Andrew Large, Mr C J Lendrum, Sir Peter Middleton and Mr J S Varley.
