   NOTIFICATION OF INTEREST: COMPANIES ACT 1985 s.329
                            
The independent trustee of the Barclays Group (PSP &
ESOS) Employees' Benefit Trust notified the Company on 21
September 1999 that, on 20 September 1999, it released
5,178 Barclays PLC ordinary shares to participants who
exercised their awards under the Barclays Group
Performance Share Plan ('PSP').  None of the shares were
released to a director of Barclays PLC.

The independent trustee of the Barclays Group (ESAS)
Employees' Benefit Trust also notified the Company on 21
September 1999 that on 20 September 1999 it released
1,713 ordinary shares in Barclays PLC to participants in
the Group's Executive Share Award Scheme.  None of the
shares were released to a director of Barclays PLC.

The above trusts are discretionary trusts for the benefit
of employees and former employees (and, in each case,
their families) of Barclays Bank PLC and its
subsidiaries.  Following these transactions, the trustee
of all the Barclays Group employees' benefit trusts holds
a total of 9,123,157 shares in Barclays PLC in which the
following directors of Barclays PLC have an interest as
potential beneficiaries: Mr D P Allvey, Sir Andrew Large,
Mr C J Lendrum, Sir Peter Middleton, Mr O H J Stocken,
and Mr J S Varley.
