Notification of directors' interests : Companies Act s329



The independent trustee of the Barclays Group (ESAS)
Employees' Benefit Trust (the 'Trust') notified the
Company on 2 September 1999 that it purchased a total of
1,225 ordinary shares on 31 August 1999 at a price of
1852p per share.  None of the shares purchased was in
respect of an award made to a director of Barclays PLC.

The Trust is a discretionary trust for the benefit of
employees and former employees (and, in each case, their
families) of Barclays Bank PLC and its subsidiaries.
Following this transaction, the trustees of all the
Barclays Group employees' benefit trusts hold a total of
9,280,774 shares in Barclays PLC in which the following
directors of Barclays PLC have an interest as potential
beneficiaries: Sir Andrew Large, Mr C J Lendrum, Sir
Peter Middleton, Mr O H J Stocken, and Mr J S Varley.
