On 18 May 2000, the Company granted options under the Barclays PLC Incentive
Share Option Plan (ISOP) over Barclays PLC ordinary shares at an exercise
price of £15.63 per share to directors of Barclays PLC as follows:

No consideration was paid on the grant of the options.  The number of shares
over which the options become exercisable depends on the meeting of stringent
performance targets.  Options will not normally vest until three years after
grant.
