Result of General Meeting

The Board announces that, at the General Meeting of the Company held earlier today, the sole resolution proposed was duly passed, which was an ordinary resolution authorising the allotment of up to 30 million Ordinary Shares to shareholders of Henderson Global Trust plc in connection with the proposed reconstruction and winding-up of Henderson Global Trust plc (the "HGT Scheme").

The Company expects to make a further announcement of its participation in respect of the HGT Scheme upon the Effective Date, being 25 April 2016.
