Bank of Georgia Group PLC announces Board changes

 

Bank of Georgia Group PLC (the "Company" or the "Group") announces that Andrew McIntyre has been appointed to the Board of Directors as an independent Non-Executive Director with effect from 15 March 2024.

 

Mr McIntyre is a Chartered Accountant with broad experience of financial services businesses operating around the world and his full biography is presented below. The appointment follows a comprehensive, independent recruitment process led by the Nomination Committee and supported by an executive search firm.

 

Mr McIntyre has also been appointed as a member of the Audit Committee and as a member of the Nomination Committee and, subject to regulatory approval, will join the Supervisory Board of JSC Bank of Georgia.

 

In accordance with our succession planning procedures as disclosed in our 2022 Annual Report and in accordance with the National Bank of Georgia's Code of Corporate Governance for Commercial Banks, Al Breach, an independent non-executive director and a member of the Remuneration Committee, Risk Committee, and Nomination Committee, has stepped down from the Board of Directors and the Supervisory Board and their Committees with effect from the same date.

Biography

Mr McIntyre is a Chartered Accountant with broad experience of financial services businesses operating around the world.  He holds an MA from Cambridge University. Since retiring from EY in 2016, he has followed a portfolio career predominantly in the financial services industry.

 

Mr McIntyre was a partner at EY from 1988 to 2016, specialising in clients in international financial services.  During that time, he worked mostly from the firm's London office, apart from a period from 2004 to 2010 in the Zurich office.  He acted for some of the firm's largest financial services clients and held various management positions, including as a member of the UK firm's board. Mr McIntyre is the Senior Independent Director of C. Hoare & Co. and is a non-executive director of Lloyds Bank Corporate Markets plc.  He has previously been a board member of National Bank of Greece S.A., Ecclesiastical Insurance Group plc and the Centre for Economic Policy Research.
