NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Bank of Georgia Holdings PLC (BGH) was notified on 1 July 2013 that Avto Namicheishvili, a Person Discharging Managerial Reponsibility, had sold a total of 17,000 BGH ordinary shares (BGH Shares).

Mr Namicheishvili sold 1,846 BGH Shares on 26 June 2013 at a share price of £16.57 per BGH Share, 7,696 BGH Shares on 27 June 2013 at a share price of £16.26 per BGH Share and 7,458 BGH Shares on 28 June 2013 at a share price of £16.37 per BGH Share.

Following the sale of BGH Shares, Mr Namicheishvili continues to hold 181,454* BGH Shares, representing approximately 0.51% of the share capital of the Company. 

This notice is given in fulfillment of the obligation under DTR3.1.4 (1)(a)R.
