NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Bank of Georgia Holdings PLC (BGH) was notified on 20 November 2012 by each of Vasil Revishvili and Thea Jokhadze, Persons Discharging Managerial Responsibility, that each had sold BGH ordinary shares (BGH Shares) on 16 November 2012.

Mr. Revishvili sold 14,000 BGH Shares at price of £10.7050 per BGH Share.

Ms. Jokhadze sold 7,500 BGH Shares at a price of £10.7335 per BGH Share.

Following the above sales, Mr. Revishvili and Ms. Jokhadze continue to hold* 88,400 and 7,500 BGH Shares, respectively.

This notice is given in fulfillment of the obligation under DTR3.1.4 (1)(a)R.
