                                 MATERIAL FACT


Banco Santander informs that it has acquired today 7,600,000 shares of Obrascon
Huarte Lain, S.A. (OHL), representing approximately 8.68% of such company, at a
price of €26.75 per share. Subsequently, Banco Santander has placed such stake
in the market, by means of an accelerated book building, at a price of €27.25
per share.

The placing of these shares was carried out by Santander Investment Bolsa, S.V.,
S.A. in conjunction with Fidentiis Equities, Sociedad de Valores, S.A..
