We have, through two of our subsidiaries incorporated in the Cayman Islands,
different issues listed in the London Stock Exchange, more prescisely, the
following.

1) Issuer: BCH Eurocapital Limited
   Issues: Preference shares series A and B

2) Issuer: BCH Financial Services Limited
   Issue:  Guaranteed Subordinated Step-up FRN's due 2005

Please note that after the merger between Banco Santander, SA and Banco Central
Hispanoamericano, SA we are in a process of restructuring the administration of
those subsidiaries, and therefore the members of the respective Board of
Directors of both Companies have recently changed.  Accordingly:

- Regarding BCH Eurocapital Ltd:
  Ms Maria Calero has now been appointed on 1st June 1999, Chairman and
  Director. 
  Ms Maritza I. Garcia, has been appointed on 28th April 1999,
  Director and Company Secretary. 

  At present the Board of Directors Composition
  is: 
  Ms Maria Calero, Chairman and Director. 
  Ms Maritza I. Garcia, Director and Company Secretary.
  Mr Jose Luis del Valle, Director.

- Regarding BCH Financial Services Limited:
  Ms Maria Calero has been appointed on 1st June 1999, Chairman and Director.
  Ms Maritza I Garcia has been appointed on 28th April 1999, Director and
  Company Secretary. 
  At present the Board of Directors Composition is: 
  Ms Maria Calero, Chairman and Director. 
  Ms Maritza I Garcia, Director and Company Secretary. 
  Mr Jose Antonia Espallardo, Director.
