Banco Santander, S.A. (the "Bank") hereby announces that following the recent downgrade of the Spanish sovereign debt rating by Moody's Investor Service, the agency published on February 23, 2012 the revised rating of the Bank's which are the following:

§ Cedulas territotiales                                Aa2 from Aaa
