                                 MATERIAL FACT


Banco Santander Central Hispano, S.A. hereby notifies that as of 1st May next it
will pay a fourth dividend on the earnings for the 2006 financial year,
amounting to €0.199913 gross per share.


With the payment of this dividend, which if approved by the General Meeting of
Shareholders will be the final dividend, the total dividend on the earnings for
the past financial year will amount to €0.520625 per share, 25% higher than that
paid in respect of 2005 financial year.


On Wednesday, 2nd May, the Bank's share will already trade ex-dividend.
