OTHER NOTIFICATIONS

'Banco Santander (Brazil), S.A. has today notified the Comissão de Valores Mobiliários (Securities Commission) of Brazil as follows:

'Banco Santander (Brazil), S.A.  (the 'Bank'), hereby gives the following notification, in the form and for the purposes of the provisions of Paragraph 4 of Article 157 of Act no. 6.404/76 and CVM Instruction no. 358/02:

The Bank has today applied to the Comissão de Valores Mobiliários - CVM to register a public offering for subscription of certificates of deposit of shares ('Units') representing ordinary and preference shares issued by the Bank, to be carried out in Brazil under the terms of CVM Instruction no. 400/03, with public placement and distribution of Units in other countries ('Global Offering').

The Bank has not made a decision yet about launching the Global Offering, for which it will take into account national and international market conditions. The Bank's intention is for the Units to be admitted for listing in Level 2 of the 'BM&FBOVESPA Práticas Diferenciadas de Governança Corporativa' (Separate Practices of Corporate Governance) after the Public Offering if this is the case. An extraordinary general meeting will be duly convened in order to discuss the compulsory reform of the corporate bylaws.

The rules of Level 2 requires that the Bank undertake to reach a minimum free float of 25%. No decision has been made yet regarding the size of the Global Offering, which will be decided by the Bank after analyzing market conditions prevailing at the moment of launching the Public Offering. Preliminary assessment indicates that the offer might represent around 15% of the share capital. In such case, the 25% free float requirement shall be satisfied after a defined period of time to be agreed with the BM&FBOVESPA.

Further notifications will be given under the terms of CVM Instruction 400/03 and CVM Instruction 358/02.'
