MATERIAL FACT

As a follow-up to earlier Material Facts reporting an agreement between specific shareholders, Banco Santander now discloses that it has received notice of the termination of a usufruct affecting 553,508 shares, and their attached voting rights, for the benefit of Latimer Inversiones, S.L. Absolute ownership of the shares now rests with the Fundación Botín. We must accordingly update the information given earlier on the shares within the scope of the syndication: as at today, the number of such shares is 72,762,080 (0.5082% of its share capital).

The syndication agreement is otherwise unchanged.
