it has registered with the American Securities & Exchange Commission form S-8
regarding a long term incentive plan approved by Compass Bancshares Inc., whose
beneficiaries are its employees and managers. This incentive plan may imply a
final distribution of up to a maximum of 1.706.004 shares of BBVA (equivalent to
0,000455181% of its share capital).
