Oporto, October 28, 1999: The shareholders of Banco Comercial Portugues, S.A.
(BCP;NYSE:BPC) convened today, at 3:00p.m., in Oporto, for the General Meeting
of Shareholders. Shareholders and representatives of shareholders accounting
for 56.58% of the Bank's share capital attended the meeting.
The Meeting approved and reaffirmed all proposals approved at the General
Meeting held on July 26, 1999, namely a proposal authorising the increase of the
share capital up to 1,257,115,685 Euro by issuance of up to 251,423,137 shares
of nominal value 5 Euro, under the terms specified in the announced Public
Offers to be launched by Banco Comercial Portugues over Companhia de Seguros
Mundial-Confianca, S.A. and Banco Pinto & Sotto Mayor, S.A. and a proposal to
adjust the Company's by-laws as a result of the same.
