Balfour Beatty plc ("the Company") has received notice from M & G Investment Management Limited, on behalf of Prudential plc ("Prudential") and certain of its subsidiary companies, confirming that although Prudential continues to hold an overall interest in 5.06% of the Company's total voting rights (50p Ordinary Shares in the Company), its wholly owned subsidiaries, M&G Group Limited and M&G Limited, no longer hold notifiable interests in excess of 5%.

The Company has also been advised that Prudential's overall interest includes the interests of the following subsidiary company of Prudential, who is also interested in the same 50p Ordinary Shares in the Company:

The Prudential Assurance Company Limited (wholly owned subsidiary of Prudential plc): 3.79%

The Company has also been advised that ("Prudential") and certain of its subsidiary companies are also interested in 733,855 of the Company's Cumulative Convertible Redeemable Preference Shares of 1p each ("Preference Shares").  However, the Preference Shares carry no voting rights at a general meeting of the Company, except where the dividend is six months or more in arrears, or where the business of the meeting includes a resolution which directly affects the rights and privileges attached to the Preference Shares or a resolution for the winding-up of the Company.
