On 10 June 2004 Balfour Beatty plc ('the Company') was notified that Mr J L
Cohen, an executive director, had exercised a vested award under the Company's
long term incentive scheme, the Performance Share Plan 2001, pursuant to which
67,981 ordinary 50p shares in the Company have been transferred to him.
Following the exercise of this award and as a result of subsequent dispositions
of the shares transferred, Mr Cohen has increased his holding in ordinary shares
in the Company by a further 33,481 shares (making the total held by him and his
immediate family to 77,676 ordinary shares) and, at the same time, sold 34,500 
shares at a price of £2.6142 each.
