On 10 June 2004 Balfour Beatty plc ('the Company') was notified that Mr M W
Welton, an executive director, had exercised a vested award under the Company's
long term incentive scheme, the Performance Share Plan 2001, pursuant to which
98,642 ordinary 50p shares in the Company have been transferred to him.
Following the exercise of this award, Mr Welton has sold 98,642 ordinary shares
at a price of £2.6142 each.
