On 8 June 2004 Balfour Beatty plc ('the Company') was notified that Mr I P
Tyler, an executive director, had exercised a vested award under the Company's
long term incentive scheme, the Performance Share Plan 2001, pursuant to which
68,076 ordinary 50p shares in the Company have been transferred to him.
Following the exercise of this award, Mr Tyler has sold 68,076 ordinary shares
at a price of £2.50125 each.
