by another employee of a vested award under the Plan, the executive directors
who are (among other employees) beneficiaries of the Balfour Beatty Employees'
Share Ownership Trust ('Trust') are deemed to have an interest in a total of
1,242,780 ordinary shares now held by the Trustees of the Trust.
