Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

On 22 March 2013, Balfour Beatty plc (the "Company") was informed that on 22 March 2013,

Mrs C Ferguson, spouse of Mr I G T Ferguson CBE, a Director of the Company, purchased 10,000 ordinary shares of 50p each ("Ordinary Shares") in the Company at 244.0p per Ordinary Share.

As a consequence, the total number of Ordinary Shares held by Mr Ferguson and any persons connected with him within the meaning of Section 252 of the Companies Act 2006 is 45,000 comprising 0.007% of the Company's issued Ordinary Share capital.

The transaction referred to above took place in London.

This notification is made under DTR Rule 3.1.4.
