Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

On 18 March 2013, Balfour Beatty plc (the "Company") was informed that on 18 March 2013, Mrs J L Tyler, spouse of Mr I P Tyler, a Director of the Company, sold 79,568 ordinary shares of 50p each ("Ordinary Shares") in the Company at 270.769p per Ordinary Share.

As a consequence, the total number of Ordinary Shares held by Mr Tyler and any persons connected with him within the meaning of Section 252 of the Companies Act 2006 is 26,595, comprising 0.004% of the Company's issued Ordinary Share capital.

The transaction referred to above took place in London.

This notification is made under DTR Rule 3.1.4.
