Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

On 7 March 2013, Balfour Beatty plc (the "Company") was informed that on 7 March 2013, Mrs J L Tyler, spouse of Mr I P Tyler, a Director of the Company, sold 250,000 ordinary shares of 50p each ("Ordinary Shares") in the Company at an average price of 274.87p per Ordinary Share.

On the same day, the Company was also informed that on 7 March 2013, Mrs C Ferguson, spouse of Mr I G T Ferguson CBE, a Director of the Company, purchased 10,000 Ordinary Shares in the Company at 274.5p per Ordinary Share.

On 8 March 2013, the Company was informed that on 8 March 2013, Mrs V M Kempston Darkes, a Director of the Company, purchased 7,000 Ordinary Shares in the Company at 277.57p per Ordinary Share.

Each of these transactions took place in London.

As a consequence, the total number of Ordinary Shares held by each of these Directors and any persons connected with each of them within the meaning of Section 252 of the Companies Act 2006 is as follows:
