Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

Balfour Beatty plc (the "Company") announces the following transactions:

On 16 October 2012, each of the following Persons Discharging Managerial Responsibilities ("PDMRs") acquired the number of Ordinary Shares of 50p each ("Ordinary Shares") in the Company shown against his name at 303.1p per Ordinary Share through participation in the Balfour Beatty Share Incentive Plan 2011:

On 18 October 2012, Mr I P Tyler, a Director of the Company, exercised options over 439 Ordinary Shares in the Company that were originally granted on 18 May 2009 under the Company's Savings-Related Share Option Scheme, following maturity of the Savings Contract to which the options relate.  The option exercise price was 249.0p per Ordinary Share and all shares received on exercise have been retained.

The Company has also been informed of the following transfer of Ordinary Shares on 19 October 2012:

Mr A J McNaughton: 114,638 Ordinary Shares out of the sole name of his spouse, Mrs N McNaughton, into the sole name of Mr A J McNaughton.

Each of these transactions took place in London.

This notification is made under DTR Rule 3.1.4.
