 PURCHASE OF OWN SHARES

Schroder UK Growth Fund plc ("the Company") announces that on 20 May 2016 the Company purchased 142,000 ordinary shares at a price of 148.5 pence per share, to be held in treasury.

Following this purchase, the Company's issued share capital consists of 160,233,184 ordinary shares, and an additional 684,000 ordinary shares of 25p each held in treasury. Accordingly, the total number of voting rights in the Company is 160,233,184.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
