Voting Rights and Capital


In accordance with the Transparency Directive's transitional provision 6,
Schroder UK Growth Fund plc ('the Company') announces that its issued share
capital consists of 163,175,900 ordinary shares of 25p with each share carrying
the right to one vote. The Company holds 3,250,000 shares in treasury and
therefore the total number of shares carrying voting rights is 159,925,900.


The above figure of 159,925,900 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the Company under the FSA's
Disclosure and Transparency Rules.
