Schroder UK Growth Fund plc announces that at the Annual General Meeting of the
Company held at 31 Gresham Street, London EC2V 7QA on Wednesday, 2 August 2006,
resolutions numbered 1 to 10 as set out in the Notice of Meeting were duly
passed, with the exception of resolution 8, which was withdrawn with the consent
of the meeting due to lack of shareholder support.
