                      Purchase of Shares For Cancellation

Schroder UK Growth Fund plc announces that on 27 February 2002 the Company
purchased a total of 75,000 shares for cancellation at a price of 104.50 pence
per share. Following this purchase, there are a further 178,827,746 shares in
issue.
