                         PURCHASE OF SHARES FOR CANCELLATION


Schroder UK Growth Fund plc announces that on 1 December 2000, the Company
purchased a total of 680,000 shares for cancellation, 630,000 shares at a price
of 137.50 pence per share and 50,000 shares at a price of 138.00 pence per
share.  Following these purchases, there are a further 196,405,263 shares in
issue.
