Purchase of Own Sec.Amendment

An amendment has been made to the 'Purchase of Own Securities' announcement
released on 22 October, 1999 at 09:54 under RNS No 4596t.  The number of
warrants in issue should have read 29,332,007 NOT 29,322,007 as previously
stated.  All other details remain unchanged.


PURCHASE OF WARRANTS FOR CANCELLATION

Schroder UK Growth Fund plc announces that on 21 October 1999, the Company
purchased 190,000 warrants for cancellation, at a price of 48.00 pence per
warrant.  Following the purchases, there are a further 29,332,007 warrants in
issue which can be exercised at the subscription price of 100p per share on 31
August (or if not a business day the next business day) in any of the years  
2000 to 2002 both inclusive.
