NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notification made in accordance with Rule 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules.

1.  The Company was notified today by the trustee of the BAE Systems Share Incentive Plan, Equiniti Share Plan Trustees Limited, that on 1 June 2011 the following Persons Discharging Managerial Responsibilities ("PDMRs") each acquired the number of ordinary shares of 2.5p each listed below in the share capital of BAE Systems plc following the reinvestment of dividends payable on ordinary shares held in the BAE Systems Share Incentive Plan:

The shares were acquired on 1 June 2011 at a price of 330.23 pence per share and are held in the name of Equiniti Corporate Nominees Limited. The transactions took place on the London Stock Exchange.  

2.  The Company has been advised today that on 1 June 2011 the following PDMR acquired ordinary shares of 2.5p in the share capital of BAE Systems plc following the reinvestment of dividends payable on ordinary shares held in the BAE Systems Dividend Reinvestment Plan, as set out below. The shares were acquired at a price of 330.29 pence per share and the transaction took place on the London Stock Exchange.
