NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notification made in accordance with Rule 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules.

1.  The Company was notified yesterday by the trustee of the BAE Systems Share Incentive Plan, Equiniti Share Plan Trustees Limited, that on 1 June 2010 the following Persons Discharging Managerial Responsibilities ("PDMRs") each acquired the number of ordinary shares of 2.5p each listed below in the share capital of BAE Systems plc following the reinvestment of dividends payable on ordinary shares held in the BAE Systems Share Incentive Plan:

The shares were acquired between 1 & 2 June 2010 at a price of 323.13 pence per share and are held in the name of Equiniti Corporate Nominees Limited. The transactions took place on the London Stock Exchange.  

2.  The Company has been advised today that on 1 June 2010 the following PDMRs acquired ordinary shares of 2.5p in the share capital of BAE Systems plc following the reinvestment of dividends payable on ordinary shares held in the BAE Systems Dividend Reinvestment Plan, as set out below. The shares were acquired at a price of 323.13 pence per share and the transactions took place on the London Stock Exchange between 1 & 2 June 2010.
