NOTIFICATION OF MAJOR INTERESTS IN SHARES


In accordance with the Transparency and Disclosure Rules, Lloyds TSB Group Plc
has notified Babcock International Group PLC ('the Company') today that on 22
May 2007 it had an overall interest in 8,646,684 shares of the Company,
representing 3.78% of the total voting rights.

Chain of controlled undertakings through which the voting rights and/or the
financial instruments are effectively held:

88,669 shares are controlled by Lloyds TSB Private Banking, part of Lloyds TSB
Bank Plc, a wholly owned subsidiary of Lloyds TSB Group Plc.


8,558,015 shares are controlled by Scottish Widows Investment Partnership Plc,
part of Scottish Widows Plc, a wholly owned subsidiary of Lloyds TSB Group Plc.
