Babcock International Group PLC has received notification that as at 19
October 2000, as a result of the aggregation of funds of Hill Samuel Asset
Management Ltd and Scottish Widows Investment Management Ltd, the combined
asset management operation, now known as Scottish Widows Investment
Partnership Ltd, is interested in 15,700,952 Ordinary Shares of 50p each in
the Company. This holding represents 9.233% of the issued Ordinary Share
capital of the Company.
