Notification made in accordance with Rule 3.1.4 (1) (a) and Rule 3.1.4 (1) (b)
of the Disclosure Rules.

Awards made on 24th July 2006 under the Babcock International Group PLC Long
Term Incentive Plan of 60p ordinary shares for nil consideration. The awards
will be exercisable (subject to the rules of the L-TIP) between the 3rd and 10th
anniversary of the grant.

The number of shares vesting will be subject to achievement of the performance
target over a three year period.
