                ACQUISITION OF CMR CONSULTANTS
              BY BABCOCK INTERNATIONAL GROUP PLC

Babcock International's Engineering Services Division (BES)
has acquired CMR Consultants Ltd, an energy management and
consultancy company based in Studley, Warwickshire.

CMR was founded in 1995 by Dr Cedric Rodrigues and specialises
in four complementary areas of Energy Management,
Environmental Management, Energy Procurement, and Telecoms
Service Procurement. Dr Rodrigues, who continues as the
Managing Director, has over 25 years experience in energy
management and advises a number of major UK and European
companies. He is also an independent advisor to the UK
Governments Energy Efficiency Best Practice Programme.

The acquisition enhances Babcock's Facilities Management (FM)
capability in the provision of sound cost reduction management
to the expanding FM market. CMR will complement the range of
efficiency improvement and support services already offered by
Babcock.

Murray Easton, Managing Director of BES, commenting on this
latest acquisition, said 'The addition of CMR Consultants
under Dr Rodrigues leadership, and the considerable and broad
range of experience it brings, is an important component in
the development of the Babcock Support Services business.'

Dr Rodrigues added that the new relationship provides a
significant opportunity for accessing new business sectors for
CMR's existing consultancy services together with expansion
into the direct management of energy conservation projects and
installation of CMR's energy monitoring and management
systems.
