                                AVON RUBBER PLC

             Proposed disposal of Avon Rubber's Automotive Division

The Board of Avon Rubber p.l.c. (the 'Company') announces that it is today
posting a circular to its shareholders (the 'Circular') setting out details of
the proposed disposal of its automotive division ('Avon Automotive'). This
follows the Board's announcement on 22 May 2006 of its agreement to sell Avon
Automotive.

The Circular contains a notice convening an Extraordinary General Meeting of
shareholders to be held at the offices of ING Bank N.V., London Branch, 60
London Wall, London EC2M 5TQ at 10 a.m. on 13 June 2006, at which approval for
the proposed disposal will be sought.

The Circular will shortly be available for inspection at the UK Listing
Authority's Document Viewing Facility which is situated at: Financial Services
Authority, 25 The North Colonnade, Canary Wharf, London E14 5HS and the
Company's registered office Hampton Park West, Semington Road, Melksham,
Wiltshire SN12 6NB. In addition, the Circular will shortly be available for
inspection at the offices of TLT Solicitors, One Redcliff Street, Bristol BS1
6TP and Sea Containers House, 20 Upper Ground, Blackfriars Bridge, London SE1
9LH.
