BRITISH EMPIRE SECURITIES AND GENERAL TRUST p.l.c. (the 'Company')

At the Company's Annual General Meeting held today all nine resolutions were
passed by Shareholders.

At the conclusion of the Annual General Meeting Mr. William Fossick and Mr.
Clive Gilchrist retired as Directors of the Company. Mr. Iain Robertson replaces
Mr. Fossick as Chairman with immediate effect.

Further to the announcement of the Company's annual results on 15 November 2002,
Mr. Peter Allen, Mrs. Rosamund Blomfield-Smith and Mr. Strone Macpherson have
today been appointed Directors of the Company.
