APPOINTMENT OF CHIEF OPERATING OFFICER

Manpower Software plc announces the appointment of Mr Richard James Morgan-Evans to the Board of Directors as Chief 
Operating Officer, effective 17 June 2004.

Mr Morgan-Evans (age 57 years) has over 20 years international business experience at senior level, including 
appointments as President, Managing Director and CEO, in the European IT industry. Mr Morgan-Evans has particular 
expertise in international sales, partner development, consultancy, implementation services and product development. He 
has also specialised in managing large international contracts to successful completion.

While successively Sales Director and President EMEA of SSA from 1987-1998, Mr Morgan-Evans was responsible for growing 
its EMEA Division from sales of $1m to $200m and personnel from 3 to 500+.

Mr Morgan-Evans holds an MSc from the London Business School and is a graduate of the Royal Military Academy Sandhurst. 
He served in the British Army for ten years and acquired extensive operational experience in postings throughout Europe 
and the Middle East.

Mr Morgan-Evans' initial responsibilities as Chief Operating Officer will focus on increasing Manpower Software's 
international defence sales and enhancing its delivery capability.

On 25 May 2004, prior to his appointment as a Director, Mr Morgan-Evans acquired 100,000 ordinary shares of 5p each in 
the Company at the price of 35.5p per share. Mr Morgan-Evans has been awarded options over 100,000 ordinary shares of 
5p each in the Company, exercisable at 33p per share between 17 June 2006 and 16 June 2014.

Mr Morgan-Evans is also a director of THO Consulting Limited and within the last five years has held directorships of 
Broadchoice Limited, EXE Technologies (UK) Limited, OCM Limited, Portolan Commerce Solutions Limited, Portolan Systems 
Limited, SSA Limited and SSA Global Technologies Limited. Other than this, the Company confirms that Mr Morgan-Evans 
has not held any directorships in other companies or been a partner in any partnerships during the last five years and 
has no details to disclose in respect of paragraphs (f) (iii)-(viii) of Schedule 2 of the AIM Rules.
