              Manpower Software plc ("Manpower" or the "Company")

                             Director Shareholding

Manpower was today informed that John Archibald, the Company's Engineering
Director, purchased today 11,812 ordinary shares of 5p each ("Ordinary Shares")
in the Company at a price of 14 pence per share.  As a result he now owns 27,562
Ordinary Shares representing approximately 0.1 per cent. of the Company's issued
share capital.


This was to satisfy an obligation given by John Archibald on 15 April 2002 to
take up his entitlement under the recent open offer of the Company.  For
administrative reasons his application was not able to be processed by 10 May
2002, the closing date of the open offer.
