                     Manpower Software plc ("the Company")

                             AWARD OF SHARE OPTIONS


An award of 1,726,984 options to acquire 5p ordinary shares in the Company was
made on 17 May, 2002 to the Directors of the Company as detailed below.  This
notification sets out the total options currently held by the Board of
Directors.  The total options currently issued to Directors amounts to 2,310,601
shares, representing 5.22% of the issued share capital.
