ATHELNEY TRUST PLC (the 'Company')

DIRECTOR'S SHAREHOLDING

The Company announces that on 6 April it was advised that, the Chairman, Mr Hugo
Deschampsneufs, purchased 2,300 (0.13 %) Ordinary Shares of 25 pence at a price
of 85 pence per share on 6 April.

On the same day Mr Deschampsneufs advised that 30,000 shares held jointly with
his sister were separated in October 2003 so that each of them held 15,000
shares.

Following these transaction Mr.Deschampsneufs' beneficial interest in the issued
ordinary share capital of the Company is 116,875 (6.48 %) ordinary shares. The
above figures include a holding of 58,000 shares owned by a pension fund in
which Mr. Deschampsneufs and the Managing Director, Mr. R.G. Boyle have an
interest.
