ATHELNEY TRUST PLC (the 'Company')


DIRECTORS SHAREHOLDING

The Company announces that it was advised on 13 April 2001 that, on 12 April
2001, the Chairman, Mr Hugo Deschampsneufs, purchased 1,400 (0.08%) Ordinary
Shares of 25 pence at a price of 69.5 pence per share.

Following this transaction Mr. Deschampsneufs' beneficial interest in the
issued ordinary share capital of the Company is 88,300 (4.9%) Ordinary Shares.
Mr Deschampsneufs' previously reported holding included 3,000 Ordinary
Shares held by his son, who achieved the age of majority in December 2000 and
therefore these shares are no longer required to be reported as part of Mr.
Deschampsneufs' beneficial holding.
