            ATTENTIV SYSTEMS GROUP PLC ('ATTENTIV' OR THE 'COMPANY')
                             DISCLOSURE OF INTEREST

12 May 2004: We refer to the announcement dated 6 April 2004 in which it was
disclosed that Gartmore Investment Management plc and its subsidiary companies
had a holding of 6,500,000 shares. The Company was notified on 10 May 2004 under
section 198-202 of the Companies Act 1985 that, following the sale of 75,000
shares on 6 May 2004, Gartmore Investment Management plc no longer had a
notifiable interest in the Company.
