                             Acquisition of Shares


On 17 February 2000, Amlin plc acquired from Hoare Govett's affiliate, ABN
AMRO Equities (UK) Limited, 6,491,331 Amlin ordinary shares at 70p per share.
This represents 3.0 per cent. of Amlin's ordinary share capital.

The shares will be cancelled as soon as practicable, whereafter 209,886,395
shares will remain in issue.
